Terms of Service

1. About these Terms
These Terms of Service govern the use of the Vertex Web Africa website and the web design, development, hosting, maintenance and related services provided by Vertex Web Africa (“Vertex Web Africa”, “we”, “us” or “our”).
Vertex Web Africa operates from Ermelo, Mpumalanga, South Africa.
By requesting a quotation, accepting a proposal, instructing us to begin work, paying an invoice or otherwise using our services, you agree to these Terms together with any project-specific quotation, proposal, service agreement or written scope provided to you.
Where a signed agreement or accepted quotation contains terms that differ from these Terms, the project-specific agreement will apply to the extent of that difference.
2. Our Services
Vertex Web Africa provides services including website design, website development, website redesigns, e-commerce development, website maintenance, hosting-related assistance, domain configuration, technical support, search-engine optimisation work and other related digital services.
The exact work included in a project will be described in the applicable quotation, proposal or written agreement.
Anything not specifically included in the agreed scope may be treated as additional work and quoted separately.
3. Quotations and Website Estimates
Prices displayed on our website, including figures generated by the online Quote Calculator, are estimates only and do not constitute a binding quotation.
A final quotation may change after we review the actual requirements, complexity, integrations, content, functionality and technical condition of an existing website.
A quotation becomes binding only once it has been formally issued and accepted in the manner specified in that quotation.
Quotations are subject to any validity period stated on the quotation.
4. Project Scope and Changes
We will carry out the work described in the agreed project scope.
If you request additional pages, functionality, integrations, revisions or other work outside the original scope, we may provide an additional quotation or charge for the extra work before proceeding.
Reasonable refinements that are included in the agreed scope will be handled as described in the quotation or project agreement.
A substantial change in project direction may be treated as a new scope of work.
5. Client Responsibilities
You are responsible for providing the information, content, images, branding, credentials, approvals and other materials reasonably required to complete the project.
You must ensure that any content, photographs, trademarks, text, data or other materials supplied to us may lawfully be used for the project.
You are also responsible for reviewing work presented for approval and informing us of required changes within a reasonable period.
Delays in providing content, access, approvals or feedback may affect the expected delivery date.
6. Payments and Billing
Project fees, deposits, payment stages and due dates will be specified in the applicable quotation or invoice.
Where an upfront payment or deposit is required, work may only begin once that payment has been received.
We may pause development, hosting, maintenance or other services where an invoice remains overdue after reasonable notice.
Final deliverables may be withheld until all amounts due for the relevant project have been paid.

Nothing in these Terms limits any consumer right that cannot lawfully be excluded under applicable South African law.
7. Third-Party Costs
Some projects may require third-party products or services such as domain registrations, hosting platforms, Shopify subscriptions, payment processors, email services, premium software, APIs, plugins or other external services.
Unless expressly included in our quotation, these costs are separate from Vertex Web Africa’s development fees.
Third-party services remain subject to the provider’s own terms, pricing and availability.
We are not responsible for price increases, outages, policy changes or service interruptions caused by third-party providers, although we will reasonably assist clients where those services affect a project we support.
8. Project Timelines
Any development or delivery period provided by Vertex Web Africa is an estimate unless expressly stated otherwise in writing.
Delivery times may be affected by project complexity, requested changes, delayed client feedback, missing content, third-party services, technical problems or circumstances outside our reasonable control.
We will communicate material delays where reasonably possible.
9. Intellectual Property
Unless otherwise stated in a project agreement, ownership of the final custom deliverables created specifically for a client will transfer after full payment of the applicable project fees.
This does not transfer ownership of third-party software, open-source libraries, licensed assets, fonts, platforms or other materials governed by their own licences.
Vertex Web Africa retains ownership of our pre-existing tools, reusable components, development methods, general-purpose code, internal processes, knowledge and techniques.
You retain ownership of content and intellectual property that you provide to us.
By providing that content, you grant Vertex Web Africa permission to use it to the extent necessary to complete and support the project.
10. Portfolio and Promotional Use
Unless otherwise agreed in writing, Vertex Web Africa may display a completed, publicly available project in our portfolio, social media or promotional material for the purpose of demonstrating our work.
We will not intentionally publish confidential client information as part of such use.
If you require a project to remain confidential or not appear in our portfolio, this should be agreed with us in writing.
11. Domains, Hosting and Maintenance
Domain registration, hosting, maintenance and ongoing technical support are only included where specifically stated in the applicable quotation or service plan.
Recurring services must be kept up to date in accordance with the relevant billing arrangement.
Failure to renew or pay for a recurring service may result in hosting, maintenance or other related services being suspended or discontinued after reasonable notice.
Clients remain responsible for maintaining access to third-party accounts registered in their own name.
12. Support
Technical support for an existing Vertex Web Africa project can be requested at: support@vertexwebafrica.co.za
Support does not automatically include new development, redesign work or functionality outside an existing maintenance or support agreement.
Additional work may be quoted separately.
13. Cancellations and Refunds
A project may be cancelled in accordance with the applicable quotation or written project agreement.
If a project is cancelled after work has begun, you may be responsible for work already completed, time already committed to the project and non-refundable third-party expenses incurred on your behalf.
Payments relating to completed custom development are generally not refundable merely because the client later decides not to use the completed work.
Any refund entitlement required by applicable South African law remains unaffected.
14. Website Performance and Search Results
We aim to build reliable, responsive and technically sound websites, but we do not guarantee that a website will operate without interruption or error in every possible environment.
We also cannot guarantee specific Google rankings, search-engine positions, visitor numbers, sales, leads, revenue or other business outcomes.
Search engines and third-party platforms determine their own rankings, policies and algorithms independently of Vertex Web Africa.
15. Security
We take reasonable technical and organisational measures to protect websites and systems under our control.
No website, server, software platform or online service can be guaranteed to be completely immune from vulnerabilities, attacks, outages or unauthorised access.
Clients must protect passwords, administrator credentials and other access information supplied to them.
16. Limitation of Liability
To the fullest extent permitted by law, Vertex Web Africa will not be liable for indirect, incidental or consequential losses arising from the use of our website or services, including loss of profits, business opportunities or data caused by circumstances outside our reasonable control.
Where liability cannot lawfully be excluded, our liability in connection with a particular project will, to the extent permitted by law, be limited to the amount paid to Vertex Web Africa for the service giving rise to the claim.
Nothing in these Terms excludes liability or consumer protections that cannot legally be excluded.
17. Confidentiality
Where either party receives confidential business, technical or commercial information in connection with a project, that information should be treated as confidential and used only for the purposes of carrying out the project, except where disclosure is required by law or agreed by the relevant party.
18. Personal Information
Personal information submitted through our website or provided during a project will be processed in accordance with our Privacy Policy and applicable South African privacy law.

19. Electronic Communications
You agree that project communications, quotations, approvals, notices and other correspondence may be exchanged electronically, including by email and WhatsApp.
Electronic acceptance of a quotation or agreement may be relied upon where permitted by applicable law.
20. Suspension or Termination
We may suspend or terminate services where a client materially breaches an agreement, fails to pay amounts due, abuses our systems or services, requests unlawful activity, or otherwise makes continued performance unreasonable or unlawful.
Where reasonably appropriate, we will give the client an opportunity to resolve the issue before termination.
21. Events Outside Our Control
Vertex Web Africa will not be responsible for delay or failure caused by circumstances reasonably outside our control, including widespread internet outages, hosting-provider failures, natural disasters, load shedding affecting infrastructure, telecommunications failures, cyber incidents or actions of government authorities.
22. Governing Law and Disputes
These Terms are governed by the laws of the Republic of South Africa.
Where a dispute arises, both parties should first attempt to resolve the matter through good-faith communication.
If the dispute cannot be resolved informally, it may be referred to the appropriate South African court or other competent dispute-resolution forum.
23. Changes to these Terms
We may update these Terms as our services, technology or legal obligations change.
The latest version will be published on this website together with the date of the most recent update.
Changes will not retrospectively alter a separate signed project agreement unless agreed between the parties.
